2.2 Services Description

VisualBrandsStudios provides brand identity design, visual design, trademark iconography, typography systems, and related brand design services. All services are delivered as described in individual project agreements and proposals.

2.3 Project Scope & Deliverables

Each project is governed by a separate agreement that defines the specific scope, deliverables, timelines, and pricing. Changes to the project scope may require a written change order and may affect pricing and timelines.

2.4 Payment Terms

Payment terms are defined in each individual project agreement. Unless otherwise specified:

• A deposit of 50% is required before project commencement.
• Remaining balance is due upon project completion and before final deliverable handover.
• Late payments may incur a 2% monthly interest charge on the outstanding balance.

2.5 Intellectual Property

Upon full payment, VisualBrandsStudios assigns to the client all intellectual property rights to the agreed-upon deliverables. VisualBrandsStudios retains the right to display the work in its portfolio and marketing materials unless otherwise agreed in writing.

2.6 Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of the project. This obligation survives the termination of the agreement.

2.7 Limitation of Liability

VisualBrandsStudios shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from the use of or inability to use the services. Our total liability shall not exceed the total amount paid by the client for the specific service giving rise to the claim.

2.8 Termination

Either party may terminate a project agreement with 14 days' written notice. In the event of termination, the client is responsible for payment of all work completed up to the date of termination.

2.9 Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of France. Any disputes shall be subject to the exclusive jurisdiction of the courts of Lisieux, France.

4.1 General Refund Terms

VisualBrandsStudios is committed to delivering high-quality brand design services. Refunds are evaluated on a case-by-case basis according to the project milestones and deliverables completed.

4.2 Pre-Project Cancellation

If you cancel a project before work has commenced, you are entitled to a full refund of any deposit paid, minus any administrative fees not exceeding 10% of the deposit amount.

4.3 Mid-Project Cancellation

If you cancel a project after work has commenced:

• No refund will be issued for work already completed and approved at each milestone.
• A partial refund may be issued for work in progress, calculated proportionally based on the remaining undelivered scope.
• All completed work and intellectual property for paid milestones will be transferred to the client.

4.4 Post-Delivery Disputes

If you are dissatisfied with delivered work:

• You must notify VisualBrandsStudios within 7 days of delivery with specific, documented concerns.
• VisualBrandsStudios will review the concerns and, if valid, provide up to two rounds of revisions at no additional cost.
• If revisions do not resolve the matter, a partial refund may be negotiated in good faith, proportional to the portion of work considered deficient.

4.5 Non-Refundable Items

The following are non-refundable:

• Third-party costs incurred on behalf of the client (stock imagery, font licenses, printing costs).
• Work that has been approved and signed off by the client at each milestone.
• Services rendered under separate custom agreements with specific non-refund clauses.

4.6 Refund Processing

Approved refunds will be processed within 14 business days using the original payment method. If the original payment method is unavailable, an alternative method will be agreed upon.
